Welcome to Nixi AI. These Terms of Service ("Terms") govern your access to and use of our services. Our service ("Service") is a digital documentation tool designed for medical professionals. It uses AI to transcribe and help draft medical records from patient conversations, accessible via an internet-connected web browser. The Service is provided by Nixi AI GbR, a partnership established under the laws of Germany with its principal place of business at Adolfsallee 14, 65185 Wiesbaden, Germany ("Nixi AI," "we," or "us"). By using our Service, you agree to be bound by these Terms.
We will provide the Service in a professional manner throughout your subscription term. We are responsible for maintaining and updating the Service to ensure it remains functional and secure.
We will use commercially reasonable efforts to make the Service available with an uptime of 99% during each calendar quarter. This does not include scheduled downtime for maintenance and updates, which is planned for 21:00 to 05:00 Central European Time (CET). We will notify you in advance of any significant planned interruptions.
We will provide technical support to you via email at Hello@nixiai.ai during standard German business hours.
Your privacy and the security of your data are paramount. All processing of personal data is governed by our Data Processing Agreement (DPA), which is incorporated by reference into these Terms. By agreeing to these Terms, you are also agreeing to the DPA.
The Service is a powerful tool, but it is your responsibility to use it correctly and professionally.

Violation of these terms may result in the immediate suspension or termination of your access to the Service.
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business purposes during your subscription term. This license is limited to thenumber of authorized Users specified in your subscription.
You are responsible for all activities that occur under your User accounts and for keeping your passwords confidential. You must ensure that all account information is accurate and up-to-date. Do not share your account credentials with anyunauthorized person.
We reserve the right to suspend or terminate any account if we suspect fraudulent, illegal, or abusive activity, or anyother activity that could harm the Service, Nixi AI, or our other users.
You are responsible for obtaining and maintaining the necessary hardware, software, and internet connectivity required to access and use the Service.
You agree to use the Service in compliance with all applicable laws and regulations. You are responsible for your Users' adherence to this Agreement and shall ensure they use the Service appropriately.
You may not assign or transfer any of your rights or obligations under this Agreement to another party without our prior written consent.

You retain all ownership rights to the Content you create or upload to the Service. We do not claim any ownership rights to your transcripts, notes, or any other data you provide.
To provide the Service, you grant us a limited, worldwide, royalty-free license to use, process, store, and display yourContent, but only as necessary to operate, provide, and improve the Service for you. We will not use your Content for any other purpose. All analysis for the purpose of service improvement is conducted on fully anonymized data, as detailed in our DPA.
The processing of any personal data, especially Protected Health Information (PHI), is strictly governed by our Data Processing Agreement (DPA), which is an integral part of this Agreement.
We are committed to protecting your Content. We implement and maintain robust technical and organizational measures to ensure the security and confidentiality of the Service. Our specific security commitments are detailed in Annex B of the DPA.
Our Privacy Policy explains how we collect and use data related to your account and your use of our website. It does not govern the Content you process, which is covered by the DPA.
We and our licensors own and retain all rights, titles, and interests in the Service, including all underlying software, AI models, and any improvements or developments made to the Service. These Terms do not grant you any ownership rights to our Service.
As stated in Section 7.1, you retain all ownership rights to your Content.
This Agreement begins when you first use the Service and continues as long as you have a subscription. Subscriptions automatically renew on a monthly or annual basis unless canceled.
You can terminate your subscription at any time through your account settings. The termination will be effective at the
end of your current billing period.
We may suspend or terminate your access to the Service with immediate effect if you are in material breach of these Terms. We also reserve the right to discontinue the Service with reasonable prior notice.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, or major telecommunication failures.
We may update these Terms from time to time. We will notify you of any material changes, and your continued use of the Service after such notice will constitute your acceptance of the new Terms.
This Agreement shall be governed by the laws of the Federal Republic of Germany, excluding its conflict of law provisions. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Wiesbaden, Germany.

Nixi AI provides both free, usage-limited plans and paid subscription plans ("Plans"). The specific features and pricing of each Plan are detailed on our website. All pricing is subject to change with prior notice, as described in section 14.5.
If your payment cannot be completed, we will provide you with notice. If Fees remain unpaid, we may charge interest on the overdue amount and/or suspend your access to the Service until the payment is made.
We reserve the right to change our Plan prices at any time. We will provide you with reasonable prior notice of any pricechanges. Your continued use of the Service after the price change takes effect constitutes your agreement to pay the modified Fee amount.
Unless required by applicable law, all Fees are non-refundable.
